Welcome to SBVault! These Terms of Service ("Terms") govern your use of our secure file storage and sharing service. By creating an account or using SBVault, you agree to these Terms. Please read them carefully.
By accessing or using SBVault ("Service"), operated by SBVault, a product of SkillBreed LLC ("we," "us," or "our"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Your continued use of SBVault after changes are posted constitutes acceptance of the modified Terms.
Account Registration & Security
Account Creation
To use SBVault, you must:
Be at least 13 years of age
Provide accurate, current, and complete information during registration
Maintain and update your account information
Create a strong, secure password
Complete reCAPTCHA verification when required
Account Security
You are responsible for:
Maintaining the confidentiality of your password and account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
Important: Never share your password with anyone. SBVault staff will never ask for your password.
User Responsibilities & Acceptable Use
Permitted Use
You may use SBVault to:
Store your personal or business files securely
Share files with others using share links
Organize files in folders
Access your files from any device
Prohibited Use
You agree NOT to use SBVault to:
Upload illegal content: Including but not limited to child exploitation material, stolen data, or content that violates intellectual property rights
Distribute malware: Including viruses, trojans, ransomware, or other malicious code
Engage in harassment: Including stalking, threats, or distribution of personal information without consent
Violate laws: Including copyright infringement, trademark violations, or distribution of pirated content
Bypass security measures: Including attempts to hack, interfere with, or disrupt the Service
Create multiple accounts: To abuse free storage limits or evade suspension
Resell or redistribute: The Service without our written permission
Automate abuse: Using bots, scripts, or automated tools to abuse the Service
Store prohibited content: Including spam, phishing pages, or content designed to deceive others
Content & Intellectual Property
Your Content
You retain all rights to the files and content you upload to SBVault ("Your Content"). By uploading content, you grant us a limited license to:
Store, process, and transmit your files to provide the Service
Scan your files for viruses and malware using automated tools
Create backups for disaster recovery purposes
Share files when you explicitly create share links
We do not:
Claim ownership of your content
Use your content for any purpose other than providing the Service
Access your files except as required to provide the Service or as required by law
Sell or share your content with third parties for marketing purposes
Use Your Content to train any artificial-intelligence model. Neither ours nor any third party's.
AI features (Julie) and your content
SBVault includes an in-app AI assistant called Julie, powered by industry-leading AI models from our trusted AI partner. When you use Julie:
Your conversation messages and any file content you explicitly ask Julie to read are transmitted to our AI partner for processing.
Per our AI partner's API terms, data submitted to their API is not used to train their models. Their published policy is part of our subprocessor record — available on request.
Julie cannot read files inside a Private Vault folder — those are encrypted client-side and the server (and Julie) only see ciphertext.
If you do not want any file content sent to our AI partner, store that content in a Private Vault folder, or simply do not ask Julie to read those files.
SBVault's Intellectual Property
The SBVault Service, including its software, design, logos, and branding, is owned by SBVault (SkillBreed LLC) and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.
Storage & Subscriptions
Plans & Pricing
SBVault offers free and paid subscription plans. Current plan details, storage limits, features, and pricing are described on our Pricing page. We reserve the right to modify plan offerings and pricing at any time, with reasonable notice to existing subscribers.
Subscription Terms
Paid subscriptions are billed on a recurring basis via Stripe
You can cancel your subscription at any time from your account settings
Cancellations take effect at the end of the current billing period
No partial refunds for unused portions of a billing period
If you downgrade to a lower-tier plan, files exceeding the new plan's storage limit will be locked until you delete files or resubscribe
Fair Use & Storage Policy
SBVault is built for active personal and business use — storing, sharing, and working with files you actually use, with help from Julie, your AI assistant. Our storage allowances are generous on that basis.
To keep the service sustainable for everyone, accounts that sit at or near their full storage capacity with no uploads and no file access for 60 days or more may be flagged for fair-use review. If an account remains full and untouched for a further 30 days (90 days total), it may be placed into a read-only state for new uploads.
We will never delete your data under this policy, and your existing files always remain available to view and download. You will always be notified by email first, at both the flag and the read-only stage. Full upload access is restored automatically and immediately the moment you access a file or upgrade your plan — no support request is needed.
Virus Scanning & Security
We automatically scan all uploaded files through our trusted multi-engine antivirus partner. While we make every effort to detect malicious files:
We do not guarantee that all malware will be detected
You download and use shared files at your own risk
We are not liable for damage caused by files downloaded from SBVault
We reserve the right to delete files identified as malicious without notice
Security Notice: Always exercise caution when downloading files from the internet, including shared files from SBVault. Use your own antivirus software for additional protection.
File Sharing & Share Links
When you create a share link:
Anyone with the link can access the shared file or folder
You can optionally protect share links with a password
You can set expiration dates for share links
You are responsible for controlling who has access to your share links
You are responsible for the content you share
Sharing Prohibited Content
If you share illegal or prohibited content, we may:
Immediately disable the share link
Remove the content from our servers
Suspend or terminate your account
Report the activity to law enforcement if required
Data Retention & Deletion
Active files: Stored indefinitely while your account is active
Deleted files: Permanently removed from active servers within 30 days
Backups: Deleted files purged from backups within 90 days
Account deletion: All data permanently deleted within 90 days of account closure
Inactive accounts: Free accounts inactive for 12+ months may be deleted with 30 days notice
Service Availability & Support
Uptime
While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service. We may experience downtime for:
Scheduled maintenance (announced in advance when possible)
Emergency security updates
Infrastructure issues beyond our control

Data Retention
Active Accounts
Your files and account data are stored for as long as your account remains active. Paid subscribers with a current subscription have their data stored indefinitely.
Inactive Free Accounts
If a free account has no login activity for 12 consecutive months, we will begin the account deletion process. You will receive three email warnings before any data is removed:
30 days before deletion: First notice explaining the inactivity and how to prevent deletion
14 days before deletion: Second reminder with instructions to log in
3 days before deletion: Final warning that files will be permanently removed
Logging in at any point during the warning period cancels the deletion process and resets the inactivity timer.
Expired Paid Accounts
If your paid subscription ends (through cancellation or failed payment) and you do not renew or log in for 6 months after the subscription expires, the same 30/14/3-day warning sequence begins. Your files remain accessible during the warning period.
Encrypted Data
All files stored on SBVault are encrypted at rest with industry-standard 256-bit encryption. Once an account is deleted, the encrypted files and their encryption keys are permanently destroyed. We cannot recover deleted files under any circumstances. We strongly recommend downloading your files before your account is scheduled for deletion.
Downgraded Accounts Over Storage Limit
If you downgrade to a plan with less storage than you are currently using, your existing files remain intact and accessible. You will not be able to upload new files until your usage falls below the new storage limit. No files are automatically deleted during a downgrade.
Termination
Termination by You
You may close your account at any time by:
Using the account deletion feature in your settings
Contacting our support team
Account deletion is permanent and cannot be undone. All data will be deleted as outlined in the Data Retention section above.
Termination by Us
We reserve the right to suspend or terminate your account if:
You violate these Terms of Service
You upload prohibited or illegal content
Your account is used for abusive or fraudulent activity
Your payment method fails (for paid subscribers)
Required by law or court order
For serious violations (illegal content, malware distribution, abuse), we may terminate your account immediately without notice. For less serious violations, we will typically provide a warning first.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties, including:
Warranties of merchantability, fitness for a particular purpose, and non-infringement
Guarantees that the Service will be error-free, secure, or uninterrupted
Guarantees that your data will never be lost or corrupted
Guarantees that all malware will be detected
You are responsible for maintaining your own backups of important data.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SBVAULT (SKILLBREED LLC) SHALL NOT BE LIABLE FOR:
Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damage caused by malware or viruses downloaded from the Service
Unauthorized access to your account due to password compromise
Service interruptions or data loss
Our total liability to you for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim (or $100 for free users).
Indemnification
You agree to indemnify, defend, and hold harmless SBVault (SkillBreed LLC), its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
Your use of the Service
Your violation of these Terms
Your violation of any laws or third-party rights
Content you upload or share through the Service
Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
Arbitration Agreement
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. You waive your right to a jury trial and to participate in class action lawsuits.
Exceptions to Arbitration
You may opt out of arbitration by sending written notice within 30 days of creating your account. Either party may seek injunctive relief in court for intellectual property violations.
We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe content on SBVault infringes your copyright, please send a DMCA notice to support@sbvault.app including:
Your contact information
Identification of the copyrighted work
Identification of the infringing material (share link URL)
A statement of good faith belief that use is unauthorized
A statement that the information is accurate and you are authorized to act
Your physical or electronic signature
We will investigate valid DMCA notices and remove infringing content. Repeat infringers may have their accounts terminated.
International Users
SBVault is operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with your local laws. By using the Service, you consent to the transfer and processing of your data in the United States.
Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SBVault (SkillBreed LLC) regarding the Service.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment
You may not assign or transfer your rights under these Terms. We may assign our rights to any affiliate or successor.
Force Majeure
We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.
